Grinex is a compostable products company headquartered in Jaipur, Rajasthan, India. We design, manufacture, and supply CPCB-certified compostable products to businesses and individuals across India. References to “Grinex,” “we,” “us,” or “our” in these Terms refer to Grinex and its operating entity. References to “you” or “your” refer to any individual or organisation using our website, products, or services.

2. Eligibility

By using our website or services, you confirm that:

• You are at least 18 years of age, or are accessing the website with the consent of a parent or legal guardian.
• You have the legal authority to enter into a binding agreement, either on your own behalf or on behalf of the organisation you represent.
• The information you provide to us is accurate, current, and complete.

If we discover that any of the above conditions are not met, we reserve the right to refuse service, cancel orders, or terminate access.

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use of, our website by any third party. Specifically, you agree not to:

We reserve the right to suspend or terminate your access to the website if we believe you are violating these Terms.

4. Products and orders

All product descriptions, specifications, and pricing on our website are accurate to the best of our knowledge. However, we reserve the right to correct any errors, modify product details, and adjust pricing without prior notice.

Placing an order

When you place an order through our website or via direct enquiry, you are making an offer to purchase. Orders are confirmed only after we accept them and send a confirmation. We reserve the right to refuse or cancel any order at our discretion, including due to:

• Product unavailability or stock limitations.
• Errors in pricing or product information.
• Suspected fraud or unauthorised use of payment methods.
• Inability to fulfil delivery in the requested region or timeline.

Bulk and custom orders

Bulk orders and custom-branded products are subject to separate pricing, minimum order quantities, and lead times. Specific terms for such orders will be communicated and agreed upon in writing before fulfilment begins. Once production has commenced on a custom order, cancellation may not be possible.

5. Pricing and payment

All prices on our website are listed in Indian Rupees (₹) and may be subject to applicable taxes and shipping charges, as indicated at checkout or in your formal quotation.

We accept payments through Razorpay and other authorised payment gateways. By making a payment, you agree to the terms of the relevant payment processor in addition to these Terms. Grinex is not responsible for any issues arising from a third-party payment gateway.

For bulk and partnership orders, payment terms (advance, milestone-based, or credit) will be agreed upon separately and documented in writing.

6. Shipping and delivery

We ship pan-India through trusted logistics partners. Shipping timelines vary by location, product, and order volume. Estimated timelines will be shared at the time of order confirmation.

While we make every effort to deliver within the estimated timeline, delays may occur due to circumstances beyond our control — including weather, transit strikes, or courier-side issues. Grinex is not liable for such delays, but we will keep you informed and work to resolve them.

Risk of loss and title for products passes to you upon delivery to the address you provide. Please ensure the delivery address is accurate at the time of order.

7. Returns, refunds, and replacements

We stand behind the quality of our products. If a product is damaged in transit, defective, or significantly different from what you ordered, please notify us within 7 days of delivery by writing to support@grinex.in with photos and order details.

Subject to verification, we will offer one of the following remedies:

• A replacement of the affected product at no additional cost.
• A refund of the affected portion of the order.
• A credit note that can be redeemed against a future order.

Custom-printed, custom-branded, and bulk-customised orders are non-returnable except in cases of manufacturing defect or transit damage. Sample kits are non-refundable.

8. Intellectual property

All content on this website — including but not limited to the Grinex name, logo, product designs, photography, illustrations, copy, blog posts, and overall visual identity — is owned by Grinex or used with permission. It is protected under applicable Indian and international intellectual property laws.

You may not copy, reproduce, distribute, modify, or use any content from this website for commercial purposes without our prior written consent. Limited personal, non-commercial use of website content (such as reading and sharing links) is permitted.

If you submit any content to us — testimonials, photos, suggestions — you grant us a non-exclusive, royalty-free, worldwide right to use, reproduce, and display that content in connection with our business.

9. Limitation of liability

To the maximum extent permitted by law, Grinex, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website, products, or services.

Our total liability for any claim arising under these Terms shall not exceed the total amount you have paid to Grinex in connection with the specific order or transaction giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable Indian law.

You agree to indemnify, defend, and hold harmless Grinex, its directors, employees, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of:

16. Dispute resolution

Before initiating any formal legal proceedings, we encourage you to first contact us at hello@grinex.in so we can attempt to resolve the matter amicably. Most issues can be resolved through honest conversation. If a dispute cannot be resolved through good-faith discussion, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Jaipur, Rajasthan.

17. Miscellaneous

• Severability — if any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full effect.
• Waiver — our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Entire agreement — these Terms, along with our Privacy Policy and any order-specific written agreement, constitute the entire understanding between you and Grinex.
• Force majeure — Grinex shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or supply chain disruptions.
